Clinic in a Box — Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Clinic in a Box application and related services (the "Service"), operated by Global Audiology Consulting LLC ("we," "us," "our"). By creating an account or using the Service, you ("you," the "Customer") agree to these Terms. If you are agreeing on behalf of a clinic or organization, you represent that you are authorized to bind that organization.

1. Eligibility & accounts

• You must be a healthcare provider, clinic, or authorized staff member to use the Service.
• You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under your account.
• You must promptly notify us of any unauthorized access.

2. Protected health information & HIPAA

To the extent you use the Service to process protected health information (PHI), you are the covered entity or its business associate, and we act as your Business Associate. Our handling of PHI is governed by a separate Business Associate Agreement (BAA) between you and us, which is incorporated by reference. In the event of a conflict between these Terms and the BAA with respect to PHI, the BAA controls. Our data practices are described in our Privacy Policy.

3. The Service & third-party integrations

• The Service may connect, at your direction, to third-party systems including electronic health records via SMART on FHIR (e.g., Epic), payment processing (Stripe), messaging (Twilio, SendGrid), and claims clearinghouses.
• EHR access is read-only and requires authorization by an authorized clinician. Your use of those third-party systems is also subject to their terms; we are not responsible for third-party services or their availability.
• You are responsible for obtaining any rights, consents, and authorizations needed to connect and use those integrations.

4. Acceptable use

You agree not to: (a) use the Service unlawfully or in violation of HIPAA or other applicable law; (b) access data you are not authorized to access; (c) reverse engineer, resell, or misuse the Service; (d) upload malicious code; or (e) interfere with the Service's security or operation.

5. Subscriptions, fees & payments

• Paid plans are billed through Stripe. Current pricing is presented in the App (e.g., monthly and annual plans, with a free-trial period). Confirm current pricing in-app.
• Subscriptions renew automatically until cancelled. You may cancel or manage your subscription via the in-app billing portal; cancellation takes effect at the end of the current period.
• Except as required by law or expressly stated, fees are non-refundable; we do not issue prorated or partial-period refunds when a subscription is cancelled.
• Taxes, if applicable, are your responsibility.

6. Customer data & ownership

As between you and us, you retain all rights to the data you submit ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide the Service and as permitted by the BAA. We retain all rights in the Service software, design, and trademarks.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that data synced from third-party systems is complete or accurate.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Nothing limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law, except to the extent caused by our breach of the BAA.

10. Term & termination

We may suspend or terminate access for breach of these Terms or to protect the Service. You may stop using the Service at any time. Upon termination, data is handled as described in the Privacy Policy and BAA. Sections that by their nature should survive (e.g., 6–9) survive termination.

11. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes will be posted here with a revised effective date; continued use after changes constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Venue for disputes lies in the state or federal courts located in San Diego County, California.
